By accessing, browsing, or using the NKA Technologies Corp website (NKATechnologies.io), the NKA Quantum Computing Simulation Platform, or any related services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use the Service.
These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and NKA Technologies Corp (“NKA,” “we,” “us,” or “our”), a corporation organized under the laws of the State of Delaware.
If you are accessing or using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and “you” and “your” shall refer to both you individually and the organization.
NKA Technologies Corp operates a proprietary quantum computing simulation platform delivered as a Software-as-a-Service (SaaS) product. The platform enables users to run quantum circuit simulations, access computational resources, retrieve simulation results, and interact with tools powered by NKA’s proprietary computing architecture.

The Service is powered by patent-pending, copyright-protected computing architecture exclusively licensed to NKA Technologies Corp. All underlying technology, methods, and systems are proprietary and protected under applicable intellectual property law.
To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

NKA Technologies Corp reserves the right to manage platform access through a waitlist-based system. Account creation does not guarantee immediate access to all features or tiers. Access may be granted incrementally based on platform capacity, verification status, and subscription tier.
NKA may suspend or terminate accounts that appear to be fraudulent, duplicative, or in violation of these Terms without prior notice.
The Service is offered through tiered subscription plans. Each tier provides different levels of access, compute quotas, qubit limits, and features. Current subscription tiers are:

All payments are processed securely through Stripe. By subscribing to a paid tier, you authorize NKA Technologies Corp to charge your designated payment method on a recurring monthly basis. You agree to keep your payment information current and accurate.
Each subscription tier includes a monthly compute quota. If your usage exceeds the allocated quota for your tier during a billing cycle, overflow charges will apply. Overflow rates are published on the pricing page and may vary by tier. You will be notified when approaching your quota limit and again if overflow charges are incurred.
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period — you will retain access to your tier’s features through the remainder of the period you have already paid for. NKA Technologies Corp does not provide prorated refunds for partial billing periods. Overflow charges incurred prior to cancellation remain payable.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for its intended purpose.
You agree that you will not:
NKA Technologies Corp reserves the right to investigate and take appropriate action against any suspected violations, including without limitation terminating your account and reporting violations to law enforcement authorities.
ALL technology, computing architecture, algorithms, simulation engines, methods, processes, data structures, software, source code, documentation, and related materials comprising or underlying the NKA Technologies Corp platform are proprietary, independently owned intellectual property exclusively licensed to NKA Technologies Corp, and are protected by patent-pending filings, registered copyrights, trade secret protections, and applicable intellectual property laws.
The NKA computing architecture, quantum simulation engine, and all derivative technologies are proprietary inventions exclusively licensed to NKA Technologies Corp. No rights, title, or interest in or to any intellectual property associated with the Service are transferred to you under these Terms. Your use of the Service does not grant you any ownership, license (except the limited use license described herein), or other rights to the underlying technology.
Specifically, you acknowledge and agree that:
You retain all rights to the input data you submit to the platform and to the simulation results generated from your inputs. NKA Technologies Corp does not claim ownership over your input data or your simulation outputs. However, NKA reserves the right to use anonymized, aggregated usage data for platform improvement, performance optimization, and research purposes.
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information and usage data. By using the Service, you consent to the practices described in our Privacy Policy.
We implement industry-standard security measures to protect your data. However, no method of electronic storage or transmission over the internet is 100% secure, and we cannot guarantee absolute security.
NKA Technologies Corp strives to maintain continuous availability of the Service but does not guarantee uninterrupted, error-free, or always-available access. The Service is provided on a best-effort basis.
You acknowledge that:
The quantum computing simulations and computational results provided through the Service are intended for research, educational, and informational purposes. Simulation outputs represent computational approximations and should be independently validated before being relied upon for production decisions, safety-critical systems, or regulatory compliance.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NKA TECHNOLOGIES CORP, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF NKA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NKA TECHNOLOGIES CORP’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO NKA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
NKA Technologies Corp may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason, including but not limited to:
You may terminate your account and cancel your subscription at any time by contacting support@NKATechnologies.io or through your account settings. Upon termination, your right to access and use the Service ceases immediately. Any provisions of these Terms that by their nature should survive termination shall remain in effect, including but not limited to intellectual property provisions, limitations of liability, and governing law.
NKA Technologies Corp is not liable to you or any third party for any termination of your access to the Service.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall remain in full force and effect.
NKA Technologies Corp reserves the right to modify, amend, or update these Terms at any time at our sole discretion. When we make material changes, we will update the “Last Updated” date at the top of this page and, where appropriate, notify you through the platform dashboard or via the email address associated with your account.
Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Service and close your account.
